Risks
Lithium prices and demand: Among its risk factors the 10-K says that demand and market prices for lithium will greatly affect the value of its investment in its lithium resources, and it also lists the development of non-lithium battery technologies and competition that may put downward pressure on prices and margins. Energy Storage net sales were $2,710,035 thousand in 2025 against $7,078,998 thousand in 2023 (10-K). In its August 5, 2026 release Albemarle gave its total-company 2026 outlook as a set of lithium market price scenarios rather than a single range (company projections).2
Restructuring, care and maintenance and impairments: In 2024 Albemarle indefinitely suspended construction of Kemerton Train 4, stopped construction of Kemerton Train 3, decided to place Train 2 into care and maintenance and reduced its global workforce by 6-7% of total headcount; 2024 restructuring charges in the restructuring note totaled $1,180,806 thousand, including asset write-offs of $1,013,503 thousand (the note's total includes amounts recorded in cost of goods sold and other income, net). The Chengdu, China conversion plant was placed into care and maintenance in the first half of 2025, and in February 2026 Albemarle decided to put Kemerton Train 1 into care and maintenance as well (10-K, restructuring note).10
Kemerton Train 1 charges in 2026: Its 10-Q says Albemarle has recorded $31.8 million in restructuring charges and asset write-offs since putting Kemerton Train 1 into care and maintenance in February 2026, and expects to record additional charges in the range of $70 million to $90 million, primarily for decommissioning costs during the remainder of 2026 and 2027 (company estimate, 10-Q restructuring note, unaudited).27
Divestiture of Refining Solutions: Albemarle recorded a $181.1 million non-cash goodwill impairment and a pre-tax $245.6 million non-cash long-lived asset impairment in 2025 in connection with the agreed sale of control of the Refining Solutions business (10-K, Divestitures note). The sale closed on March 2, 2026 for $525.2 million in cash, net of cash sold, and Albemarle recorded a loss of $95.0 million before income taxes; the sale of its Eurecat S.A. interest closed on January 23, 2026 for €105 million (approximately $123 million) in cash, with a pre-tax gain of $42.3 million (10-Q, Divestitures note, unaudited).28
Legal and environmental matters: The 10-K says Albemarle paid $218.5 million in total fines, disgorgement and prejudgment interest in October 2023 under agreements with the DOJ and SEC concerning improper payments by third-party sales representatives of the Refining Solutions business, and that in April 2025 it concluded its non-prosecution agreement with the DOJ ahead of its term. Recorded environmental remediation liabilities were $20,548 thousand at December 31, 2025, and Albemarle estimates that reasonably possible costs could be an additional $40 million before income taxes above amounts already recorded (10-K, Commitments and Contingencies note).29
Cybersecurity: The 10-K says the cybersecurity program is managed by a Cybersecurity Director and overseen by the Chief Information Officer, that the board's Audit and Finance Committee oversees information security matters, and that Albemarle has not had a cybersecurity incident that has had, or is reasonably likely to have, a material effect (10-K, Item 1C).30
